Walmart, which has the largest share of the us grocery market, is ramping up its grocery services as a way to fuel online sales.

By acquiring Whole Foods, Amazon is buying not just an established, upscale supermarket brand, but also a vast distribution network of warehouses and more than 460 stores worldwide - replete with back rooms and cold storage - in some of the most affluent ZIP codes in America. This in contrast to Amazon requiring a paid annual membership in Prime, which offers a similar shipping service.

"Some say the goal for Amazon is shed whole foods pricey image - and with that could mean job cuts - so far Amazon has denied that there will be any layoffs".

In the USA "this adds 440 refrigerated warehouses within 10 miles of probably 80 percent of the population", said Michael Pachter, an analyst for Wedbush Securities.

Experts at Kantar Retail have argued that physical stores are crucial for competition in the grocery business because many food shoppers prefer to touch and inspect the food they're buying. Amazon has an obvious ability in e-commerce, but retailers such as Wal-Mart and Target have recently aggressively stepped up their digital efforts. Why pay for food delivery elsewhere if Amazon is cheaper and easier? The company disrupted retail by offering lower prices.

"There's boundless ideas and synergies, and I think it will inspire some other interesting combinations between online and brick-and-mortar going forward", said Ripco Real Estate's Peter Ripka.

"I dreamed that we merged with Amazon".

Nonetheless, she said "many will do anything to either make this acquisition more costly" for Amazon or to "prevent the asset from landing in [Amazon's] lap". Amazon "didn't put this out of reach for everybody else" in terms of price, he said.

Amazon's planned $13.7 billion acquisition of the organic and natural foods grocer signals a massive bet that people will opt more for the convenience of online orders and delivery or in-store pickup, putting even more pressure on the already competitive industry.

And grocery may take a middle path, says Kimberly Scott, a portfolio manager at the Ivy Mid Cap Growth Fund, which counts Whole Foods stock as one of its biggest investments. And in a nod to the popularity of delivery companies like Blue Apron, Kroger and Whole Foods have been testing meal kits as well.

Whole Foods also might draw a rival offer from one or more large private-equity firms because "there's a tidal wave of money that's sloshing around" in that industry, said Eric Schiffer, chief executive of the Patriarch Organization, a private-equity firm that isn't involved with Whole Foods.
